Tools
What you're paying for, what you actually use, what talks to what and what doesn't. The question is almost never "which tool to buy" but "why don't the six you already have talk to each other."
People
Who knows how to do what, who's the single point of failure, what breaks when that person goes on holiday. No plan survives a team that didn't build it.

It diagnoses before it pitches
An agency that turns up with a solution before looking at your data and processes is selling its catalogue, not your transformation. The diagnosis isn't a sales formality — it's the deliverable that determines everything else.
It quotes a fixed timeframe and price
"It depends" is a fair answer for an eighteen-month build, not for a stocktake. If no one can tell you how long the diagnosis takes or what it costs, the scope isn't defined — and an undefined scope always drifts the same way.
It doesn't resell the tool it recommends
An integrator paid by a vendor will recommend that vendor. That's not dishonesty, it's a structural conflict of interest. Ask where the agency's revenue comes from before you ask what it recommends.
It leaves something behind
An engagement that ends with a report nobody knows how to act on hasn't transformed anything. A documented map, structured reference data, at least one person trained in-house: what remains matters more than what was delivered.
